These terms cover two things: buying Locally (terms of sale) and using the Locally app (license agreement, or "EULA"). By buying, activating or using Locally, you agree to them. Please read them — they are short on purpose.
1. Who we are
Locally is sold by Aion B.V., Havenpark 4F, 4301 CD Zierikzee, the Netherlands. Chamber of Commerce (KVK): 98223704. VAT: NL868406429B01. Email: info@locallyai.nl.
In these terms "we" and "us" means Aion B.V. "You" means the person or business that buys or uses Locally.
2. Who these terms are for
- Consumers (people buying for private use) in the EU keep all rights that consumer law gives them. Nothing in these terms takes those rights away. Where a sentence says "business buyers only", it does not apply to consumers.
- Business buyers (companies, freelancers, anyone buying for their trade or profession) get the terms exactly as written.
- You must be 18 or older (or the age of majority where you live) to buy and use Locally.
3. What you buy
Locally is a desktop app for Mac and Windows that runs AI "agents" on your own computer. It is sold per kit (for example "Locally for E-commerce"). Every kit comes in three plans:
| Plan | What you get |
|---|---|
| Self-install (€297) | A license key for the kit + 12 months of updates |
| With setup call (€697) | Self-install + one live setup call with us (worth €400) |
| Done-for-you (€1,997) | Self-install + we install and configure Locally with you in a live session (worth €1,700) |
| Update Plan (€79) | 12 more months of updates for a kit you already own |
- One-time payment. This is not a subscription. You are not charged again unless you choose to buy the Update Plan.
- Prices are shown at checkout. Whether VAT is added and how much depends on where you are and is shown before you pay.
- The exact features of each kit are described on its product page at the time you buy.
4. Whop's role
We sell through Whop (whop.com). Whop processes the payment and is shown on your card statement. We are the seller and supplier of Locally — the contract for the product is between you and us. Whop's own terms apply to your use of Whop's checkout.
5. Delivery and activation
- After payment, Whop gives you a license key and a download link.
- You install Locally and enter the key in Settings → General → Activate. Activation is when the paid features are delivered to you.
- The app checks your license online about once a week and works offline in between, using a signed license token stored on your computer.
6. Your license (EULA)
We do not sell you the software itself; we give you a license to use it.
You may:
- install and use Locally on one computer per license key;
- use it for your own business or personal purposes;
- move it to another computer (Settings → General → Move to another computer, or reset the key in your Whop orders). The old computer then stops having the paid features.
You may not:
- share, resell, rent or sublicense your key, or use one key on several computers at the same time;
- get around the license check, or copy, modify or redistribute the paid parts of Locally;
- use Locally to break the law or to break the rules of any service you connect to it.
The license is non-exclusive and not transferable without our written consent.
7. Updates — how long it lasts
- Your purchase includes 12 months of updates from the day you buy.
- After those 12 months, the versions you received keep working. You simply stop getting new versions, unless you buy the Update Plan (12 more months).
- The license ends only as described in section 13 (for example after a refund or chargeback).
- We may stop selling or developing Locally in the future. If we do, the versions you have keep working under these terms.
8. What Locally's agents do — and don't
- Agents create drafts only (emails, posts, replies, product texts, etc.). Sending, publishing and charging money are blocked. You decide what goes out.
- AI makes mistakes. Agent output can be wrong, incomplete, outdated or inappropriate, for example wrong prices, amounts, VAT, dates, names, facts or tone. It can also look convincing when it is wrong. Check every draft before you use it.
- You decide and you are responsible. Everything you approve, send, publish, invoice, quote, change in a connected app or decide based on Locally's output is your own choice and your own responsibility. Approving a draft in Locally counts as your decision.
- Locally and its output are not legal, tax, accounting, financial, investment, trading or medical advice. Calculations (for example quotes, invoices, VAT, margins or ROAS) are aids, not checked figures. Have important matters checked by a qualified professional.
- Trading and betting content is education and member admin only. Locally never gives signals, picks or personal advice, and is not responsible for anyone's trading or betting results.
- Locally works with what you and your connected apps give it. We are not responsible for mistakes caused by wrong, missing or outdated information in your profile, files or apps.
9. Your AI subscription and other apps
- Agents run on your own ChatGPT Plus or Claude Pro subscription (or similar). You need your own account and you must follow OpenAI's or Anthropic's terms. Their prices and limits are not under our control.
- When you connect business apps (your webshop, email, etc.), their keys are stored encrypted on your computer. You must have the right to connect those accounts and follow their terms.
- If a third-party service changes or stops working with Locally, we will try to adapt in an update, but we cannot guarantee it.
10. Your data
Your business data stays on your computer and goes directly from your computer to the services you connect (such as OpenAI, Anthropic, your webshop). We do not receive it. We only receive what is needed to check your license. See the Privacy Policy for details.
You are responsible for your business data and for any personal data of your customers that you process with Locally (you are the "controller" under the GDPR).
11. Setup call and Done-for-you service
- Booking: after purchase you book the session via the link we send you. Please book within 60 days. If you don't, we will remind you; after 6 months the service part expires, but your license stays.
- Setup call: one live video call of up to 60 minutes to help you install and set up Locally.
- Done-for-you: one live session (up to 3 hours) in which we install and configure Locally on your computer together with you, usually via screen sharing or remote access that you start and can stop at any time.
- During these sessions we may see things on your screen. We only look at what is needed, do not copy your data, and treat everything as confidential. For Done-for-you, the Data Processing Terms in the Privacy Policy (section 9) apply.
- Rescheduling: free if you tell us at least 24 hours in advance. If you miss a session without notice, we offer one new date; after a second no-show the session counts as delivered.
12. Refunds and right of withdrawal
See our Refund Policy. In short:
- 14-day "works on your computer" guarantee: if Locally doesn't run on your computer even after a help call with us, you get your money back.
- Done-for-you: no refund once the installation session has been delivered.
- EU consumers: your legal 14-day right of withdrawal ends when you activate Locally, but only if you gave your express consent and acknowledgement at checkout/activation and we confirmed it to you (see the Refund Policy).
13. When the license ends
Your license (and the paid features) end automatically if:
- you get a refund, or
- you start a chargeback or payment dispute (if the dispute is resolved in our favour, we restore your license), or
- you seriously break these terms (for example by sharing or reselling your key) and don't fix it within 14 days after we ask you to.
When the license ends, the app returns to its free mode at the next license check. Your own data on your computer stays yours and stays on your computer.
14. Our promises (warranty)
- We promise Locally works substantially as described on the product page for the kit you bought.
- Consumers: you have the legal guarantee for digital content under EU and Dutch law (conformity), including the updates needed to keep Locally working as promised for the period you can reasonably expect. These rights are not limited by these terms.
- Business buyers only: apart from the promise above, Locally is provided "as is". We don't guarantee it will be error-free, uninterrupted, or fit for a specific purpose beyond what is described.
15. Liability
- We are not liable for: errors or omissions in agent output; what you send, publish, invoice or decide using agent drafts, or the consequences of it (such as claims from your customers, fines, tax corrections or lost sales); actions you approve in connected apps; problems caused by your AI provider or other connected services; loss of data you didn't back up; or misuse of Locally.
- Business buyers only: our total liability is limited to the amount you paid us for the kit and plan concerned. We are not liable for indirect damage, such as lost profit, lost revenue or business interruption.
- Business buyers only: you indemnify us against claims from third parties (such as your customers or authorities) that result from content you sent or published, or actions you approved, using Locally.
- These limits do not apply to damage caused by our intent or gross negligence, to death or personal injury, or where the law does not allow limits. Consumers keep all rights mandatory law gives them.
16. Open-source software
Locally includes open-source software, including software released under the MIT License. The required copyright and license notices are included in the app under Settings → About → Licenses.
Those notices, not these terms, govern the open-source parts themselves. Nothing in these terms limits your rights under those open-source licenses.
17. Changes to these terms
We may update these terms, for example for new features or new laws. The version you accepted when you bought applies to that purchase. For a new purchase (such as the Update Plan) the then-current version applies. We'll post the date of the latest version at the top.
18. Law and disputes
- Dutch law applies. Consumers outside the Netherlands also keep the protection of the mandatory consumer law of their own country.
- Please contact us first: message us on Whop (whop.com/locallyai) or email info@locallyai.nl. Most issues are solved quickly.
- Disputes go to the competent court in Middelburg (Rechtbank Zeeland-West-Brabant), the Netherlands. Consumers may also go to the court where they live.
